These Terms of Service ("Terms") govern your access to and use of LinkController's website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Acceptance of Terms

By creating an account, accessing, or using LinkController, you agree to:

• Be bound by these Terms of Service
• Comply with our Privacy Policy, which is incorporated by reference
• Comply with all applicable laws and regulations

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

LinkController is a SaaS (Software as a Service) platform that provides:

• Redirect link management and hosting
• Analytics and click tracking
• A/B split testing capabilities
• Featured offer creation and management
• Hosted service deployment
• API access (on applicable plans)
• Developer tools and documentation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use LinkController, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain and update your account information
• Keep your password secure and confidential

3.2 Account Responsibility

You are responsible for:

• All activity that occurs under your account
• Maintaining the confidentiality of your login credentials
• Notifying us immediately of any unauthorized access
• Ensuring compliance with these Terms by anyone using your account

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• Your account is used for illegal or fraudulent activity
• You provide false or misleading information
• Your payment fails or your subscription is cancelled

4. Subscription Plans and Billing

4.1 Subscription Tiers

LinkController offers multiple subscription tiers with different features and pricing. Pricing and features are described on our website and may change with notice.

4.2 Payment

• One-Time Payments: Certain plans offer lifetime access for a one-time fee. These purchases are non-refundable after 30 days.
• Recurring Subscriptions: Monthly or annual subscriptions automatically renew unless cancelled.
• Payment Processors: Payments are processed through third-party payment processors. You agree to their terms of service.

4.3 Refund Policy

We offer a 30-day money-back guarantee on all purchases. To request a refund within 30 days of purchase, contact us at help@prosupportdesk.com. After 30 days, all sales are final.

4.4 Subscription Changes

You may upgrade or downgrade your subscription at any time. Changes take effect immediately, and billing adjustments will be prorated.

4.5 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• Recurring subscriptions will not renew
• You will retain access until the end of your current billing period
• No refunds will be provided for the current billing period
• Your account will enter a 30-day grace period (see Section 4.6 below)

4.6 Data Retention and Grace Period

When your subscription ends (through cancellation, refund, or non-renewal), we provide a grace period to protect your data and allow time for reactivation:

30-Day Grace Period (Days 0-30):

• Your features are frozen in read-only mode
• You can view all your data (links, offers, analytics)
• Your links and offers continue working normally
• You can export your data at any time
• You cannot create, edit, or delete content
• You can reactivate your subscription to restore full access immediately
• You will receive email reminders at days 14 and 28 (unless suppressed by admin)

Extended Retention Period (Days 30-90):

• You lose access to your dashboard and data
• Your data is retained on our servers but hidden from you
• Your links and offers may continue working during this period
• You can contact support to request reactivation or data export
• You will receive email reminders at days 60 and 85 (unless suppressed by admin)

Permanent Deletion (Day 90+):

• All feature data is permanently deleted from our servers
• Links stop working (redirects.txt removed from S3)
• Offers stop displaying (CDN files removed)
• Analytics data is permanently deleted
• Hosted deployments are removed
• Data cannot be recovered after deletion
• Your account remains for subscription history purposes only

How to Avoid Data Loss:

• Reactivate your subscription within 90 days to restore all data and features
• Export your data during the 30-day grace period
• Contact support if you need more time or special arrangements

This policy applies to individual features that are removed from your account. If you purchase multiple subscription tiers (e.g., Front-End + One-Time Offers), each feature has its own retention timeline.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use LinkController for:

• Managing legitimate affiliate marketing links
• Tracking and analyzing click-through data
• Creating promotional offers for legal products/services
• Testing and optimizing link performance

5.2 Prohibited Uses

You may NOT use LinkController for:

• Illegal activities or promoting illegal goods/services
• Distributing malware, viruses, or harmful code
• Phishing, fraud, or deceptive practices
• Spamming or unsolicited commercial messages
• Adult content, gambling, or illegal substances (unless permitted by applicable law)
• Infringing intellectual property rights
• Circumventing security features or rate limits
• Reselling or sublicensing the Service without authorization
• Scraping, data mining, or automated access (except via official API)

5.3 Content Standards

All content you create (links, offers, descriptions) must:

• Comply with all applicable laws and regulations
• Not violate third-party rights
• Not contain malicious code or harmful elements
• Not be misleading or deceptive

6. Intellectual Property

6.1 Our Rights

LinkController and all its content (software, design, text, graphics, logos) are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

6.2 Your Rights

You retain ownership of all content you create and upload to LinkController. By using the Service, you grant us a limited license to host, store, and display your content as necessary to provide the Service.

6.3 Trademarks

"LinkController" and our logo are trademarks owned by us. You may not use our trademarks without prior written permission.

7. Data and Privacy

Your use of LinkController is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

7.1 Your Data

• You own all data you input into the Service
• We store your data securely on our servers
• You can export your data at any time during active subscription or grace period
• Data retention after subscription cancellation follows the timeline in Section 4.6
• Complete account deletion results in immediate data removal (within 30 days)
• Some data may be retained as required by law for audit or compliance purposes

7.2 Analytics Data

Click tracking and analytics data collected through our Service is owned by you. We may use aggregated, anonymized data for service improvement and analytics.

8. Service Availability and Support

8.1 Uptime

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

8.2 Support

We provide email support at help@prosupportdesk.com. Support response times vary by subscription tier.

8.3 No Warranty

The Service is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim
• We are not responsible for lost profits, revenue, data, or business opportunities
• We are not liable for third-party actions or content accessed through our Service

Some jurisdictions do not allow limitations on warranties or liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless LinkController, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create or links you manage through the Service

11. Third-Party Services

LinkController integrates with third-party services (AWS, payment processors, analytics providers). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services or any issues arising from their use.

12. Dispute Resolution and Arbitration

12.1 Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any dispute arising from these Terms or your use of LinkController shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Larimer County, Colorado.

12.3 Class Action Waiver

You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.

13. Changes to Terms

We may modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• We will notify you via email or a notice on our website
• Changes take effect 30 days after notice (or immediately for legal/security reasons)
• Continued use of the Service after changes constitutes acceptance

If you do not agree to the modified Terms, you must stop using the Service and cancel your account.

14. Termination

14.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature.

14.2 By Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your account is used for illegal activity
• Payment fails or is disputed
• We are required to do so by law

14.3 Effect of Termination

Upon termination:

• Subscription cancellation follows the data retention timeline in Section 4.6 (30-day grace period, 90-day retention, then deletion)
• Account deletion by you results in immediate data removal (within 30 days)
• Termination by us for Terms violations may result in immediate access revocation
• You remain liable for any outstanding fees
• Provisions that should survive termination (indemnification, limitation of liability, dispute resolution) will continue
• Data retention for legal, regulatory, or fraud prevention purposes may extend beyond the standard timeline

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LinkController.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet outages, etc.).
